Terms of Purchase via the Web Shop

1. GENERAL PROVISIONS

The holder of all rights to the internet domain prono.hr is Prono d.o.o., Strahoninec, Marka Kovača 19. By using the Prono Web Shop service and all associated pages on the prono.hr domain, consumers are considered to be familiar with these Terms of Purchase (hereinafter: Terms), and to fully understand and accept them. These Terms apply to the rights and obligations related to the purchase of products via the Prono Web Shop, as well as to the rights and obligations arising from the conclusion of the Distance Selling Agreement (hereinafter: Agreement) between the consumer as the final buyer and the Prono Web Shop, and are considered an integral part of such contracts.

The provider of the online sales service via the Prono Web Shop is Prono d.o.o., Strahoninec, Marka Kovača 19, VAT ID: 22278872368.
Users of the website are advised to familiarize themselves with the Terms of Sale before making a purchase and to regularly check them in order to be aware of their rights and obligations. Prono d.o.o. reserves the right to modify these Terms without prior notice and will not be liable for any consequences arising from such changes. The changes will take effect upon publication on these websites.

Prono d.o.o. reserves the right to discontinue the service and make changes to the content, as well as other services and subpages that are part of the Prono Web Shop at any time, without prior notice, and will not be responsible for any consequences arising from such changes. These changes will take effect upon publication on these websites. Furthermore, Prono d.o.o. reserves the right to change, restrict, or discontinue the Prono Web Shop service at any time without prior notice, including partially or entirely limiting access and providing certain services to users who violate the provisions of these Terms and the General Terms of Use.

The use of the Prono Web Shop services is exclusively permitted for individuals who are of legal age. The use of the Prono Web Shop by minors is not allowed, and parents and/or guardians are responsible for ensuring this. Otherwise, they assume all rights and obligations arising from such use, and Prono d.o.o. is not liable for any consequences resulting from such use. In other words, the purchase of products offered on the prono.hr domain on behalf of and for the account of minors or completely legally incapacitated persons can only be made by their legal representatives, and partially legally capable individuals can enter into a contract only with the consent of their legal representative.

The Prono Web Shop fully disclaims any responsibility for the accuracy and/or completeness of all information and content found on the www.prono.hr domain and reserves the right to make errors in the description and images of products.

*** The product images on the Prono Web Shop are representative of the respective products, but the color may vary in shade depending on the settings of the monitor on which the customer is viewing the images. Therefore, the customer cannot file a complaint based on this. The Prono Web Shop will make efforts to publish accurate and up-to-date information on the www.prono.hr website but does not assume responsibility for the accuracy and completeness of the information.

2. ONLINE PURCHASE THROUGH THE "PRONO WEB SHOP", CONCLUSION AND TERMINATION OF THE SALES AGREEMENT

These Terms, along with the specific terms of sale provided with information about certain products, constitute an offer by Prono d.o.o. for the conclusion of a Contract. By registering, placing an order, or otherwise confirming it as stipulated in these Terms, the user, as the buyer, accepts the offer, thereby concluding the Contract between the user and Prono d.o.o. under the terms of sale outlined in these Terms.

By registering on the Prono Web Shop and/or subscribing to the Newsletter, the user gives consent for the Prono Web Shop to notify them via email about changes or additions to the website content, discounts, promotions, products, or changes in service provision. The user can unsubscribe from the Newsletter recipient list at any time.

The purpose of the Contract is the purchase of the selected product via the Prono Web Shop, along with the payment of the corresponding fee (price) for that product and the associated delivery service fee. The Contract is concluded through remote communication means (a distance contract), specifically via: online order in the Prono Web Shop, printed promotional messages with an order form, and telephone with human assistance. The user has the option to choose whether to be informed by the seller about new products, products on sale, etc. (newsletter). After a successful registration (with all required fields properly filled out), the user will receive a notification of successful registration via email. Products available for purchase are advertised on the domain www.prono.hr, with each product displaying its specifications and price. The price and delivery terms are provided in the corresponding section.

All product prices on the website www.prono.hr are final, including VAT, as Prono d.o.o. is VAT registered. Before concluding the Contract, the user has the option to review the Terms by clicking on the "Terms of Sale" section. The Contract becomes effective and binding at the moment the user accepts the offer from Prono d.o.o. in one of the following ways:
– by selecting a payment method and completing the order as a registered or unregistered user of the Prono Web Shop. 

During the registration process or creation of a user account, the user is required to choose a name or username under which they will access services, select a secure password, and provide a valid email address. All information required for registration or account creation must be truthful, and it is strictly prohibited to use or provide someone else's data.

Registration or user accounts are created for a single individual, and it is not allowed to share registration or account details with third parties. The user is obligated to keep their password and account information secure. The use of another person's registration or user account is prohibited.

For violations of the provisions of the Terms in this section, Prono d.o.o. reserves the right, at its sole discretion, to terminate the user's registration or account, without any obligation to compensate the user for any costs or damages.

The Contract becomes effective when the user accepts the offer to conclude such a Contract. The sales contract for the product between the buyer and Prono d.o.o. is concluded at the moment of payment for the product.

Upon the conclusion of the Contract, the user will be electronically provided with a review and/or sent an email containing: confirmation of the concluded Contract, or a pre-contractual notice as per Article 57, Paragraph 1 of the Consumer Protection Act (NN, 41/14), these Terms, and a notice of the user's right to unilateral termination of the Contract, along with a form for unilateral termination of the Contract as per Articles 61, Paragraphs 1 and 2 of the Consumer Protection Act.

The user/buyer has the right to unilaterally terminate the Contract within 14 (fourteen) days without providing a reason. According to Article 79, Paragraph 1 of the Consumer Protection Act (NN, 41/14), the user does not have the right to unilaterally terminate the Contract if the service has been fully provided, and the provision of the service began with their explicit prior consent, along with their confirmation that they are aware that they will lose the right to unilaterally terminate the Contract once the service is fully provided.

In order for the buyer to exercise the right to unilaterally terminate the Contract, they must notify Prono d.o.o. of their decision to terminate the Contract before the deadline, through an unequivocal statement sent by mail (to Prono d.o.o., Marka Kovača 19, 40000 Strahoninec) or by email to: webshop@prono.hr, in which they must provide their name and surname, address, phone number or email address, order or invoice number. Additionally, the form for unilateral termination of the Contract, available on the Prono Web Shop pages under the "Conclusion and Termination of the Sales Contract" section, can be electronically filled out and submitted. In such a case, Prono d.o.o. will promptly send a confirmation of receipt of the termination notice via email. The deadline for unilateral termination of the Contract is 14 (fourteen) days from the day the product, which is the subject of the Contract, is delivered to the buyer or a third party designated by the buyer (not the carrier), or, in the case of services, from the conclusion of the Contract.

If the user unilaterally terminates the Contract, they will be refunded the amount paid, including delivery costs, without delay and no later than 14 (fourteen) days from the day Prono d.o.o. (or Web Shop Prono) receives the user's decision to unilaterally terminate the Contract. The refund will be made using the same method the user used for payment. If the user agrees to a different method of refund, no additional costs will be borne by them for the refund. Prono d.o.o. can issue the refund only after the product has been returned.

The buyer is obliged to return the goods to Prono d.o.o., Marka Kovača 19, 40000 Strahoninec, without undue delay, and in any case no later than 14 (fourteen) days from the day Prono d.o.o. receives their decision to unilaterally terminate the Contract. The buyer is responsible for the return shipping costs in accordance with the Consumer Protection Act (NN 41/14, Article 77). The buyer is also liable for any decrease in the value of the goods resulting from handling the goods.

If, at the buyer's request, the service has started during the period for unilateral contract termination, the buyer is obliged to pay Prono d.o.o. an amount proportional to what has been delivered up to the moment when the buyer informed Prono d.o.o. about the unilateral termination of the Contract. A copy of the form for unilateral contract termination, available on our website, can be filled out electronically or manually and sent.

3. FORM FOR CONTRACT CANCELLATION / PURCHASE PROCESS TERMS

The basic characteristics of the products (material composition, available sizes, and colors), prices, special promotions, and discounts apply to those valid at the time the order is placed. These details will be specified for each product. The price of the products will be visible in the shopping cart before the order is completed.

All information regarding the purchase confirmation based on the electronic order will be sent to the customer's email address provided during the registration/order process or in the shopping cart when entering data at checkout. All prices are expressed in Euros (EUR) on the part of the Web Shop in Croatian, and in Euros (EUR) on the part of the Web Shop in English. All prices for products and services offered on the www.prono.hr website include VAT, as Prono d.o.o. is registered for VAT. Prono d.o.o. treats selected products in the cart of a registered user as an order and reserves the right to cancel it for a valid reason. In case of order cancellation, Prono d.o.o. will inform the user about the cancellation with the reason via email or by the provided contact phone number.

If the customer does not receive a confirmation of the order, there is a possibility that they have entered their email address incorrectly. In this case, the customer can contact Prono d.o.o. via email at webshop@prono.hr or by phone at +385 98 241 149 to verify if the order has been received.

At the time of ordering a specific product from the offer, the user/customer (in accordance with the Consumer Protection Act) by agreeing to the Purchase Terms confirms that before entering into the contract, they have been informed of the details published on the domain www.prono.hr and its subpages, including: the name, business name, VAT ID, and the registered office of the seller; the methods through which they can submit their complaints; information about the products offered, including their name, main characteristics, and price; details about delivery costs; as well as information about the payment method and the delivery method and time.

Web Shop Prono (Prono d.o.o.) is obligated to provide the user/customer (in accordance with the provisions of the Consumer Protection Act) with a confirmation of the previously mentioned content in writing or another available durable medium, which should be provided before or at the latest at the time of delivery of the product. By agreeing to these Terms, the user/customer consents to receiving the confirmation of the prior notice via email to the email address they provide as a contact when entering their order.

4. PAYMENT METHOD

The customer will pay the seller for the ordered products: By transferring to the account of the company Prono d.o.o. After placing the order, the payment details will be sent to your email address. Use this information to make the payment via online banking or a general payment slip at the post office, bank, FINA branch, or any other place where you pay bills. Please send the payment confirmation or a copy of the validated payment slip in response to the email you received. The shipment will be sent after the payment is received.

Make the payment directly to our bank account. Use the order identification number as the reference number, model HR00. Your order will be shipped once the funds are visible in our account.

 

Cash on delivery (COD) We will send your shipment after the order is received and confirmed, to the address you provided in the order form. The cash on delivery amount for the shipment is to be paid in cash to the delivery person, and we recommend having the exact amount ready. This payment method applies to cash on delivery, which is handled by the delivery service selected by Prono d.o.o.

5. PRICE AND DELIVERY TERMS

The cost of delivery is fully paid by the buyer. Delivery is carried out by a company chosen by Prono d.o.o. The delivery price for Croatia is 10.00 EUR. The delivery is handled by a courier service chosen by Prono d.o.o.
For an order amount above 100.00 EUR, the cost of delivery is fully covered by Prono d.o.o.
The delivery time for products that are in stock is 2 to 7 business days from the date the order is completed, within the entire territory of Croatia.
The delivery time for products that are in stock to the Croatian islands is up to 10 business days.
In case of a change in the delivery time or any other important circumstances affecting the execution of the order, we will immediately notify the customer.

 6. Exchanges, Complaints, and Material Responsibility

If the customer receives a product they wish to exchange for another, they can do so by contacting Prono d.o.o. at +385 98 241 149.
The ordered products are packed in a way that prevents damage during normal handling and transport/delivery. The customer should inspect the shipment upon receipt, and if the packaging shows visible material damage/defects, it is recommended that the customer refuse acceptance, as there is a possibility the product inside the packaging may be damaged. By refusing acceptance, the delivery service will return the shipment to Prono d.o.o., Ulica Marka Kovača 19, 40000 Strahoninec, with a note that the shipment has a defect.
If the customer identifies material defects on the goods upon receipt, complaints and any other objections can be made in writing to the email address: webshop@prono.hr, or in person at the company’s headquarters: Prono d.o.o., Ulica Marka Kovača 19, 40000 Strahoninec, or verbally by calling +385 98 241149.
In the case of a valid complaint, the contract can be terminated with a refund of the paid amount or a product replacement. If the goods are damaged and/or defective upon delivery, the customer can return the item to the previously provided address for the complaint to be considered based on physical evidence. If, upon thorough inspection, it is determined that the damage to the product was caused by intentional or accidental mechanical procedures, such as tearing of the material or other components, which occurred after the product was inspected and shipped to the customer, the complaint will be rejected or contested. In such cases, the material responsibility of the customer for the purchased product will be determined.
It is also emphasized that, according to Article 43 of the Consumer Protection Act (NN 41/14), paragraphs 5 and 6, there is a right that if a material defect in the product appears within six months from the risk transfer date (the date of purchase), and the trader believes that the defect did not exist at that time, the costs of expert evaluation are borne by the trader. If the material defect in the product appears after six months but no later than 24 months from the risk transfer date to the buyer/consumer, the costs of expert evaluation are borne by the consumer or the trader, depending on the result of the evaluation. The trader is not liable for material defects in the product that appear more than two years after the purchase of the product.
The product being claimed must contain its original packaging or the manufacturer's label.

7. PROTECTION OF USER/CUSTOMER DATA

Web Shop Prono is committed to respecting the anonymity and privacy of its users, and will use and process data exclusively for the purposes specified in these Terms. Web Shop Prono may collect personal data from users, such as name, address, OIB (personal identification number), phone number, or email address, only if voluntarily provided by the user to the website prono.hr. Web Shop Prono (Prono d.o.o.) is not liable for any damages resulting from improper or unauthorized handling of user data, if such data is not under the control of Web Shop Prono. If a user suspects unauthorized use of their data, they should immediately inform Prono d.o.o. at the email address: webshop@prono.hr.

Prono d.o.o. will use the collected data solely for the purpose of fulfilling contractual obligations and for better insight into and understanding of individual customer needs and requirements, as well as for providing higher quality services through the Web Shop. Web Shop Prono collects and processes data regarding the use of the Web Shop without disclosing the identity of the user and/or personal data that would allow the identification of the user.
According to European Union law, Prono d.o.o. informs users that the website www.prono.hr uses cookies in order to provide the highest quality of service.
Cookies in the user's browser enable the functioning of all features of the website, as well as the customization of certain content specifically for each user, and through the analysis of visits, they continually improve the website.
Cookies are stored on the user's device, and the user can adjust their settings in the browser. To improve the browsing experience on the website, Prono d.o.o. must store a small amount of information (cookies) on the user's computer. Over 90% of websites use this practice. However, according to the European Union regulations from March 25, 2011, Prono d.o.o. is required to obtain the user's consent before storing cookies. By using the website www.prono.hr, the user agrees to the use of cookies. While the user can still browse the website by blocking cookies, some features may be unavailable.

8. WHAT IS A COOKIE?

A cookie is information stored on the user's computer by the website they visited. Cookies typically store user settings, website preferences, such as preferred language or address. Later, when the user revisits the same website, the web browser sends back the cookies that belong to that site. This allows Prono d.o.o. to display information tailored to the needs of each individual user.
Cookies can store a wide range of information, including personal information (such as the user's name or email address). However, this information can only be stored if the user allows it – websites cannot access information for which the user has not given permission, nor can they access other files on the user's computer. The default activities of storing and sending cookies to users are not visible. However, the user can change their web browser settings to choose whether to approve or reject cookie storage requests and can delete stored cookies.

9. NOTICE ON THE METHOD OF SUBMITTING CONSUMER COMPLAINTS

In accordance with Article 8, paragraph 2 of the Consumer Protection Act (Official Gazette No. 79/07, 125/07 – corrigendum, 79/09, and 89/09 – corrigendum), we inform consumers that complaints regarding the quality of our services can be submitted in written form to the following address: Prono d.o.o. Ulica Marka Kovača 19, 40000 Strahoninec, Croatia or via email at: webshop@prono.hr We will respond to your complaint in writing no later than 15 days from the date of receipt.
